1. AGREEMENT OVERVIEW

This License Agreement (the “Agreement”) is a legal agreement between you (the “Licensee”) and ABT Sounds (the “Licensor”), governing your use of digital products (“Products”) including but not limited to samples, presets, project files, and any associated content. By downloading, installing, or using any ABT Sounds product, you agree to be bound by the terms and conditions outlined in this Agreement.

2. DEFINITIONS

• Sample: A single sound, one-shot, or loop (e.g. percussion, instrument, FX) intended for use in music production.
• Preset: A pre-configured sound setting for virtual synthesizers (e.g. Serum, Diva, Sylenth1).
• Project File / Template: A full or partial music project created using DAWs such as Ableton Live, FL Studio, or Logic Pro, provided for educational purposes.
• Construction Kit / Song Kit: A curated set of musical elements (e.g. stems, MIDI, loops, and samples) that work together as a cohesive track idea or arrangement. These kits are designed to help producers start or enhance a track quickly, often organized by sections like intro, drop, or breakdown.

3. COPYRIGHT & OWNERSHIP

All copyrights to the Products remain the exclusive property of ABT Sounds. No ownership is transferred to the Licensee under this Agreement. ABT Sounds reserves the right to restrict or terminate the Licensee’s rights in case of violation.

4. USAGE RIGHTS

✅ You MAY:

• Use samples and presets royalty-free in your own original music productions, for both commercial and non-commercial purposes (e.g. releases, live performances, DJ sets, videos, film, games).
• Use project files to study, learn, and reverse-engineer production techniques.
• Use elements from project files (e.g. samples, presets, FX chains) in your own music, as long as the core melodies, chord progressions, and arrangements are significantly altered.

❌ You MAY NOT:

• Use any included content (samples, presets, project files) to create or distribute your own sample packs, sound libraries, preset banks, or similar products.
• Resell, sublicense, or share any of the content — even for free — on any platform or with third parties.
• Use project files "as-is" or with only minor changes and release them under your name or artist alias on record labels, DSPs, or any commercial outlet.
• Register or attempt to register the copyright of any included content (samples, loops, MIDI, project data, etc.).

❗ Violations of these terms may result in legal action under applicable international copyright laws.

5. EDUCATIONAL PROJECT FILES

Project files are licensed strictly for educational purposes. Redistribution or commercial exploitation of the project templates (including MIDI files, arrangements, and structure) is prohibited. Use them as a learning tool or creative foundation, but not as a finished product to release as your own.

6. NON-TRANSFERABLE LICENSE

This license is granted to the original purchaser only. It is a single-user license and may not be transferred, resold, or shared. Each individual user must obtain their own license.

7. LIABILITY DISCLAIMER

ABT Sounds is not liable for any damages (direct or indirect) caused by the use of its Products. This includes — but is not limited to — issues with hardware, software, or hearing damage due to excessive sound levels. Licensee acknowledges that prolonged exposure to loud music via headphones or speakers can cause hearing loss.

8. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the Federative Republic of Brazil. Any disputes arising from or related to this Agreement shall be subject to the exclusive jurisdiction of the courts of the City of São Paulo, State of São Paulo, Brazil.

9. ENTIRE AGREEMENT

This Agreement constitutes the complete and exclusive understanding between ABT Sounds and the Licensee. It supersedes all prior agreements, communications, and representations.
